1. Acceptance of Terms

By accessing Biz-Wave.com, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions, as well as our Privacy Policy. If you do not agree with these Terms, you should not use our Site or services.


2. Definitions

  • "We", "Us", "Our", and "Biz-Wave.com" refer to the owners and operators of biz-wave.com.
  • "You" and "User" refer to the person, company, or organization accessing or using our Site or service
  • "GDPR" refers to the General Data Protection Regulation (EU) 2016/679, which is a regulation in EU law on data protection and privacy in the European Union and the European Economic Area.

We reserve the right to modify or update these Terms at any time. Any changes will be effective immediately upon posting to the Site. It is your responsibility to review these Terms regularly. Continued use of the Site after any such changes shall constitute your consent to such changes


4. User Responsibilities

By using our Platform, you agree to:

  • Maintain and promptly update your account information to keep it accurate, current, and complete.
  • Be responsible for maintaining the confidentiality of your account details, including your password.
  • Notify us immediately of any unauthorized use of your account or any other breach of security.

Our use of your personal data is governed by our Privacy Policy. By using our Platform, you consent to such processing, and you warrant that all data provided by you is accurate.

6. Subscription Plans

Inicial Founder Plan

  • No subscription fee: Users on the Free Plan do not incur a monthly fee. This plan provides a 2-month free trial of Biz-Wave.com to experience our platform and services fully.
  • 16% transaction fee on each project: Users on the Free Plan are charged a 16% transaction fee for each service sold.
  • Limited number of bids per month: A monthly bid limit applies to users on the Free Plan.

Courses: Not available for this plan. Users on the Free Plan cannot create or sell courses.

Pioneer Plan (Hybrid – Commission Only)


  • No subscription fee: Users do not pay a monthly or annual subscription.
  • Course access: Users may publish and sell up to 1 active course with limited functionality.
  • Commission: A 25% transaction fee applies on each course sold.
  • Services: Users may continue to sell freelance services with standard transaction fees.
  • Designed for new creators who wish to test course publishing before subscribing to a paid plan.


Visionary Plan


  • Fixed subscription fee: Users pay a fixed monthly or annual fee, depending on preference.
  • Reduced transaction fee: A 12% transaction fee applies to each service sold.
  • Increased number of bids per month: Users on the Visionary Plan have access to more monthly bids, depending on the specific plan chosen.
  • Enhanced profile visibility: Users may receive increased visibility in search results based on profile reviews, potentially appearing as top freelancers for specific projects.
  • Reward Program: Eligible users may receive discounts based on reviews and service performance. Every two months, profiles are evaluated, and reward codes are sent via email, offering a plan discount based on earned ratings.
  • Courses: Users may create and sell courses, with limits of up to 2 active courses, each with up to 3 modules and up to 2–3 hours of content.
  • Commission: A 15% transaction fee applies on each course sold.


Business Legend Plan


  • Fixed subscription fee: Users pay a fixed monthly or annual fee, depending on preference.
  • Reduced transaction fee: A 10% transaction fee applies to each service sold.
  • Unlimited bids per month: Users have access to unlimited monthly bids.
  • Advanced analytics: Users receive advanced analytics to connect with top-rated projects based on profile ratings.
  • Dedicated account support: Maximum priority is provided for customer support.
  • Priority matching: Users gain prioritized access to service seekers based on service reviews and success rates.
  • Courses: Users may create and sell unlimited courses, with no restrictions on modules or video content.
  • Commission: A 12% transaction fee applies on each course sold, depending on performance tier.

  • Additional benefits: Customizable certificates for students, priority placement in the course marketplace, and access to advanced analytics on course engagement and revenue.

Wave Boost 


  • Unlimited project postings: Users may post projects without limits.
  • Engagement metrics: Analytics to monitor engagement, freelancer response rates, and project milestones help maintain project progress and assess service performance.
  • Access to personalized support: Priority access to customer support with personalized assistance.
  • Reduced marketing fees with dashboard analytics: Users receive a discounted advertising rate of 10 EUR/month for promoting their business and projects on Biz-Wave.com.

Wave Master 


  • Unlimited project postings: Users may post projects without limits.
  • Fast matching with top-rated freelancers: Users are connected instantly with top-rated freelancers.
  • Detailed reports: Reports provide insights into project progress, freelancer performance, and ROI, supporting better project management and decision-making.
  • Access to personalized support: Priority access to customer support with personalized assistance.
  • Advanced analytics: In-depth analysis tools to monitor project progress.
  • Lower marketing fees with dashboard analytics: Users receive a discounted advertising rate of 5 EUR/month for promoting their business and projects on Biz-Wave.com.

7. Referral Program


  • Each user receives a unique referral code to share with friends, family, etc.
  • Users may be eligible for Biz-Wave.com sponsorship on social media.
  • Top performance can lead to invitations to exclusive Biz-Wave.com projects.
  • Users may receive exclusive offers and improved platform benefits.
  • Additional benefits will be announced in the future.

8. Use of the Ecosystem


You agree not to use the Platform for any unlawful purpose or in a way that might harm, disrupt, or impair the functioning of the Ecosystem. Prohibited activities include, but are not limited to:


  • Engaging in any form of data mining or data harvesting.
  • Using the Site to send unsolicited commercial communications.
  • Attempting to gain unauthorized access to any part of the Ecosystem or any systems or networks connected to the Ecosystem.

9. Intellectual Property


All content on the Ecosystem, including text, graphics, logos, icons, images, and software, is the property of Biz-Wave.com or its content suppliers and is protected by copyright, trademark, and other intellectual property laws. Unauthorized use of any materials on the Ecosystem is prohibited.


10. Limitation of Liability


Biz-Wave.com will not be liable for any direct, indirect, incidental, special, or consequential damages arising from your use of the Platform or the services provided, including but not limited to loss of data, profits, or business interruption, even if we have been advised of the possibility of such damages.




  •  Independent Service Providers & Platform Role
Biz-Wave.com acts solely as an intermediary platform that connects Clients and Service Providers within the Ecosystem.
All services listed, offered, sold, or delivered through the Platform are provided independently by third-party Service Providers. Biz-Wave.com does not directly provide these services and does not act as an employer, agency, partner, or representative of any Service Provider.

Service Providers are solely responsible for:
- the quality and execution of their services;
- communication with clients;
- delivery timelines;
- accuracy of information provided;
- legal compliance;
- invoices, taxes, licenses, and any applicable professional obligations.

Biz-Wave.com does not guarantee:
- the quality of services;
- specific business or personal results;
- uninterrupted service delivery;
- client satisfaction;
- or the accuracy of content provided by Service Providers.

Any agreement, transaction, dispute, claim, or issue arising between Clients and Service Providers remains exclusively between those parties.

Biz-Wave.com shall not be held liable for:
- unsatisfactory service delivery;
- financial losses;
- indirect damages;
- disputes between users;
- missed deadlines;
- professional negligence;
- or any actions performed by third-party Service Providers.
Users are responsible for conducting their own evaluation and due diligence before purchasing or hiring services through the Platform.


11. Third-Party Links


The Ecosystem may contain links to third-party websites. These links are provided for your convenience only. We do not endorse, control, or assume responsibility for the content or practices of any third-party sites.


12. Termination


We reserve the right to terminate or suspend your access to the Ecosystem and our services at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users of the Ecosystem, us, or third parties, or for any other reason.


13. Governing Law


These Terms shall be governed by and construed in accordance with the laws of Switzerland. You agree to submit to the exclusive jurisdiction of the courts in Switzerland.


14. Marketplace Role, Provider Status, Taxes and Invoicing


  • 1. Role of Biz-Wave.com

Biz-Wave.com operates an online platform that facilitates connections and transactions between independent professionals, freelancers, trainers, creators, companies (“Providers”) and customers (“Customers”).


Unless expressly stated otherwise by Biz-Wave.com or required by applicable law, Biz-Wave.com acts solely as an intermediary and is not the seller, supplier, employer, agent, partner or provider of the underlying services, courses, training, digital content or other offerings listed by Providers on the Platform.


  • 2. Provider as Seller and Contracting Party

The Provider offering a service, course, training programme, digital content or other offering through the Platform is the seller and supplier of that offering and is the contracting party responsible for the underlying transaction with the Customer.


Providers determine and are responsible for their offerings, including their descriptions, pricing, content, availability, performance, delivery, quality, legality and compliance with applicable laws.


The use of Biz-Wave’s payment, communication, hosting, course-delivery or other technological infrastructure does not, by itself, change the identity of the Provider as the supplier of the underlying offering, except where applicable law expressly provides otherwise.


  • 3. Provider Tax Responsibility

Each Provider is solely responsible for identifying, calculating, collecting, reporting, declaring and paying all taxes, duties and governmental charges arising from or relating to the Provider’s business activities and transactions through the Platform, including, where applicable, VAT, GST, sales taxes, income taxes, withholding taxes, social security contributions and similar obligations.


Providers are responsible for obtaining and maintaining all tax registrations, VAT/GST numbers, business registrations, licences and other authorisations required in the jurisdictions in which they operate or sell.


  • 4. Invoices and Tax Documents

Unless applicable law expressly requires otherwise, the Provider is solely responsible for issuing Customers with all invoices, receipts, credit notes and other fiscal or commercial documents required in connection with the Provider’s sale.


Providers must ensure that such documentation complies with all applicable tax, accounting and consumer-protection requirements.


Biz-Wave.com does not assume responsibility for preparing, issuing or validating invoices relating to the underlying transaction between a Provider and Customer unless Biz-Wave expressly offers such functionality.


  • 5. Platform Fees and Biz-Wave.com Revenue

Biz-Wave.com may charge commissions, platform fees, subscription fees and other charges for access to and use of the Platform.


Where Biz-Wave.com facilitates a transaction between a Provider and Customer, the applicable platform commission may be deducted from amounts processed through the Platform before the remaining balance is made available to the Provider.


Unless applicable law requires otherwise, Biz-Wave’s remuneration in connection with such intermediation consists of the applicable platform commission, subscription or other fee charged by Biz-Wave.com and does not make Biz-Wave.com the supplier of the Provider’s underlying service or offering.


  • 6. Payments and Payment Processing

Payments may be processed or facilitated through Biz-Wave.com and/or third-party payment service providers.


The fact that Biz-Wave.com or a payment service provider receives, processes, holds, allocates or transfers funds in connection with a transaction does not, by itself, make Biz-Wave.com the seller or supplier of the underlying offering, except where applicable law provides otherwise.


Providers authorise Biz-Wave.com and its payment partners to deduct applicable platform fees, commissions, refunds, chargebacks, taxes, withholdings and other amounts permitted under these Terms or required by applicable law.


  • 7. Courses, Training and Digital Content

Trainers, creators and other Providers who publish courses, training programmes, lessons, videos, downloadable materials or other digital content through Biz-Wave.com remain responsible for the content they create and offer.


Unless expressly stated otherwise or required by applicable law, the relevant Trainer or Provider is the supplier of the course or digital content to the Customer. Biz-Wave.com provides technological infrastructure that may include hosting, course delivery, payment facilitation, user accounts, progress tracking and other Platform functionality.


Providers are responsible for determining and complying with any VAT, GST, sales tax, invoicing, consumer-protection, licensing or other legal requirements applicable to the sale of their courses or digital content.


  • 8. Taxes Imposed on Biz-Wave.com or Digital Platforms

Nothing in these Terms limits or excludes any tax, reporting, withholding or regulatory obligation that applicable law imposes directly upon Biz-Wave.com. 


Where any governmental authority or applicable law requires Biz-Wave.com to register for tax purposes, collect, charge, deduct, withhold, report or remit VAT, GST, sales tax, income tax, withholding tax or any other tax or governmental charge in connection with transactions conducted through the Platform, Biz-Wave.com may take all actions reasonably necessary to comply with such requirements.


This may include adding taxes to transactions, withholding amounts otherwise payable to Providers, collecting tax identification information, issuing or facilitating tax documentation, reporting transactions or user information to competent authorities, or remitting taxes on behalf of Providers or Customers where legally required.


  • 9. Tax Information and Cooperation

Users must provide accurate and complete information reasonably requested by Biz-Wave.com for tax, regulatory or compliance purposes, including legal name, address, country of residence, tax residence, VAT/GST registration status, tax identification number and other required information.


Biz-Wave.com may restrict payments, payouts, listings or account functionality where information required by law has not been provided or where reasonably necessary for legal or regulatory compliance.


  • 10. Changes Resulting from Tax or Regulatory Requirements

Biz-Wave.com reserves the right to introduce, modify or apply taxes, withholding mechanisms, reporting procedures, invoicing requirements, payout procedures or other compliance measures where necessary to comply with changes in applicable law or requirements imposed by governmental authorities.


Such measures may differ depending on the Provider’s or Customer’s country, tax status, transaction type or other legally relevant circumstances.


  • 11. No Tax, Legal or Accounting Advice

Biz-Wave.com does not provide tax, legal or accounting advice. Information made available through the Platform regarding taxes, invoicing or regulatory matters is provided for general informational purposes only.


Providers and Customers are responsible for determining their own obligations and should obtain independent professional advice where necessary.


  • 12. User Indemnification for Tax Non-Compliance

To the fullest extent permitted by applicable law, a Provider agrees to indemnify and hold Biz-Wave.com harmless from claims, assessments, penalties, interest, liabilities, costs or expenses arising from the Provider’s failure to comply with its own tax, invoicing, registration or reporting obligations, except to the extent that such liability results from a tax or legal obligation imposed directly upon Biz-Wave.com by applicable law.


  • 13. Provider Tax Settings and Declarations

Any tax status, tax registration, tax identification number, VAT, GST, sales tax or other tax status, exemption, tax rate, country of tax residence or other tax-related information entered, selected or provided by a Provider through the Platform is declared and provided by the Provider.


The Provider is solely responsible for ensuring that all such information is accurate, complete, current and applicable to the Provider and to the relevant transactions.


Where the Platform allows a Provider to select, enter or configure a tax rate or tax treatment applicable to its offerings, such selection is made by the Provider under its own responsibility. Biz-Wave.com does not, unless expressly stated otherwise or required by applicable law, determine, verify, certify or guarantee the correctness of a Provider’s tax status, registration, exemption, tax rate or tax treatment.


Providers are responsible for updating their Tax Settings whenever their tax status, tax residence, registration, applicable tax rate or other relevant circumstances change.


Biz-Wave.com may record and retain the Provider’s Tax Settings, declarations, confirmations and any changes thereto, including the date and time on which such information was provided or modified, for transaction records, compliance, audit, fraud prevention and legal purposes, subject to applicable data protection laws.


The Tax Settings applicable at the time of a transaction may be recorded and retained as part of that transaction’s history. Subsequent changes made by a Provider to its Tax Settings shall not retroactively modify the tax information recorded for previously completed transactions.


Where a Provider configures a tax amount to be added to or included in the price of an offering, any such amount may be displayed separately to the Customer and reflected in transaction records. Unless applicable law requires otherwise, the Provider remains solely responsible for issuing the appropriate invoice or tax document and for reporting and remitting any tax amount applicable to the Provider’s sale to the relevant tax authority.


Biz-Wave.com may provide transaction statements, payment summaries or other records showing amounts processed through the Platform, including the price of an offering, taxes indicated by the Provider, Platform fees and amounts credited to the Provider. Such documents are provided for informational and record-keeping purposes and do not replace any invoice, tax return, receipt or other fiscal document that the Provider is legally required to issue or submit.


Providers expressly acknowledge that enabling, disabling, selecting or modifying any Tax Setting does not relieve them of their obligations under applicable tax law.


Where applicable law requires Biz-Wave.com, independently of the Provider’s Tax Settings, to calculate, collect, charge, deduct, withhold, report or remit any tax or governmental charge, the legally required treatment shall prevail over the Provider’s selected Tax Settings, and Biz-Wave.com may modify or override such settings or transaction calculations to the extent reasonably necessary to comply with applicable law.
